4. Client Responsibilities

Clients agree to:

  • Provide accurate information

  • Provide necessary access to systems

  • Ensure lawful use of delivered systems

  • Maintain internal compliance obligations

Delays caused by lack of client cooperation may affect timelines.

5. Intellectual Property

Unless otherwise stated in a signed agreement:

  • Pre-existing intellectual property remains the property of its original owner.

  • Deliverables created specifically for the client may be transferred upon full payment.

  • 99404s retains rights to general methodologies, frameworks, and non-client-specific knowledge.

6. Confidentiality

Both parties agree to maintain confidentiality of non-public information disclosed during engagement.

Specific confidentiality terms may be defined in separate NDAs or agreements.

7. Payment Terms

Fees, payment schedules, and refund terms are defined in signed agreements or SOWs.

Late payments may result in suspension of services.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Indirect damages

  • Lost profits

  • Business interruption

  • Data loss

  • Consequential damages

Total liability shall not exceed the amount paid for the services giving rise to the claim.

9. Indemnification

Client agrees to indemnify and hold 99404s harmless from claims arising out of:

  • Client misuse of systems

  • Violation of laws

  • Unauthorized data usage

10. Termination

Either party may terminate services according to terms defined in a signed agreement.

Termination does not relieve payment obligations for services already rendered.

11. Governing Law
